Good Business Conduct – Good Business: Governance and Responsibility at Lawo

Lawo sees economic sustainability as the basis for long-term value creation, stability, and social responsibility. Corporate governance and corporate culture form the central basis for sustainable economic activity and are an essential component of long-term value creation at Lawo.

We are committed to responsible, transparent, and ethical corporate governance that takes into account the interests of all relevant stakeholders.

The governance structure of our company is based on clearly defined responsibilities within executive management and the Supervisory Board. Sustainability topics are firmly embedded in the corporate strategy and monitored at the highest level of management. The „Vorstand“ bears overall responsibility for implementing the sustainability strategy, while our interdisciplinary Sustainability Team is responsible for operational design and monitoring.

Corporate Culture Practiced at Lawo: Respect, Openness and Equal Opportunities

It is important to us that both internal and external cooperation is based on mutual respect. Together with our employees, we want to create a positive working environment in which no one is disadvantaged because of their gender, age, disability, nationality, skin color, religion, ideology, or sexual orientation. No form of discrimination, harassment, or abuse will be tolerated, and any such behavior will be acted on both internally and under applicable laws. After all, an appreciative, integrative, and vibrant corporate culture forms the foundation for commitment, innovation, and long-term corporate success.

We are committed to creating a working environment that is characterized by openness, mutual respect, and team spirit. The focus is on promoting cohesion – both within and across sites – as well as transparent dialog between employees and management.

In order to promote internal networking and strengthen identification with the company, various activities were successfully implemented or continued in the reporting period:

  • Language courses: By offering language courses, we not only support the individual development of our employees, but also intercultural cooperation in an international context.
  • Summer get-together with families and winter party: These events create space for informal encounters across departmental boundaries and deliberately include families in order to promote social cohesion.
  • Cross-sites events (e. g. sales meetings): Events that bring together employees from different sites and departments promote cross-departmental dialog and a mutual understanding of tasks and challenges.
  • Management video update: This digital communication format ensures that managers regularly and transparently provide information about current developments and strategic topics – an important contribution to an open corporate culture and to strengthening trust in the company’s management.
  • „Meet the Team“ video series: In this regular series, individual departments and colleagues are introduced in more detail. It offers insights into tasks and cooperation and promotes cross departmental networking.
  • Location-based activities: Joint activities at individual sites bring local teams closer together and strengthen the sense of unity on location.

These activities promote respectful cooperation and strengthen the sense of community across hierarchical and location boundaries. We will continue to invest in the development and maintenance of our corporate culture in future. In the event of important changes in the company, we provide information as early as possible and in accordance with the situation – for example through managers, employee events, and our employee representatives.

Our attitude is summarized in our internal Code of Conduct. We are committed to promoting a culture of transparency, integrity, and accountability and encourage all employees to report their concerns about possible violations of company policies or laws through our internal whistleblower system.

In addition to the main topic of a good corporate culture, other aspects of good corporate governance are also important to us, which we set out and put into practice.

Many of our colleagues not only have professional skills, but also musical talent. Over the years, this has resulted in the formation of various bands, which enrich our corporate culture in a very special way. Whether at the winter party or the summer get-together – their performances are an integral part of our events. The members of the Lawo bands come from different areas, sites and even continents – and still manage to bring an impressive musical repertoire to the stage together.

That’s what team spirit sounds like – and we’re already looking forward to the next performance!

Other Aspects of Good Corporate Governance

Sustainability-related risks in the areas of the environment, social topics, and corporate ethics are systematically identified, assessed, and managed as part of our company wide risk management. The internal control system ensures compliance with legal regulations and internal guidelines, and serves to prevent misconduct.

In every business decision and action, Lawo undertakes to comply with the applicable laws and other relevant regulations of all countries in which we operate.

Each employee is responsible for finding out which legal regulations must be observed in their specific area of work. As a company, we naturally do our utmost to support our employees by providing suitable information and training.

Compliance with ethical principles is of central importance to us. Our Code of Conduct sets out binding standards for lawful and responsible conduct.

At Lawo, we strive to meet the highest ethical standards. We therefore do not tolerate any form of corruption, including bribery or the acceptance or granting of inappropriate gifts or discounts that are not customary in the market, either among our employees or our business partners.

Lawo expects employees and business partners to strictly comply with all laws and regulations against corruption, bribery, and money laundering. In addition, services provided or procurement by Lawo are generally settled on a cashless basis.

Our commitment is having an impact: In recent years, we have not become aware of any incidents of corruption, bribery, or money laundering in the course of our business activities.

No indications or reports of corruption, bribery, or money laundering in connection with our business activities were received in the reporting period (2024). We are likewise not aware of any such incidents. Our internal whistleblower system enables individuals to report misconduct anonymously and securely. All reported cases are independently investigated, and appropriate action is taken in the event of violations. In the reporting period, there were and are no pending proceedings in connection with breaches of competition law. We are committed to strict compliance with all applicable competition and antitrust laws.

Trade secrets and confidential business information must not be disclosed to third parties without authorization – this principle is binding for us. The protection of confidential data and information – both our own and that of our business partners – is the responsibility of every employee within their area of work. This includes the conclusion of confidentiality agreements, the clear labeling of business secrets, and technical measures such as automatic screen locks. We not only want to protect our IT infrastructure, but also that of our business partners.

For this reason, it is particularly important to us that every employee complies with all legal and internal rules and regulations. Training courses for all employees on data protection and information security regularly raise awareness of these relevant governance topics.

Involvement in International Associations and Organizations

Lawo is a member of various industry associations and actively participates in the development of industry-specific standards. We are a member of the International Association for Broadcast + Media Technology (IABM) and the Society of Motion Picture and Television Engineers (SMPTE), among others, and have been actively and intensively involved in these organizations for many years.

We guarantee the long service life of our Lawo products and ensure that they will continue to meet the demands of the market in future. This includes continuous further development and adaptation to new technological and market related developments. The expansion of our range of flexible software solutions, which are operated on standard server infrastructures, enables us to reduce the use of valuable resources and offer our customers even more efficient and scalable solutions. We also make an active contribution to conserving resources by increasing the proportion of recycled materials and packaging. By increasing the resilience of our supply chain, we ensure security of supply and sustainability. We work closely with our suppliers to promote socially and environmentally responsible practices. Reducing our energy consumption and greenhouse gas emissions is a central aspect of our transformation plan, which is based on a comprehensive survey of our total greenhouse gas emissions. Through this focus, we are contributing toward SDG9, SDG12, and SDG13
